Terms of Use & Service
Last updated: September 16, 2026 · Governed by the laws of the Republic of the Philippines
These Terms govern access to and use of GrowthOS™ — the growth platform TLDR operates for ELS Regional Business Partners — including your workspace, the pages we host for you, managed services, and the data your business keeps on the platform.
1. The agreement
These Terms of Use and Service (“Terms”) are a binding agreement between TLDR — The Laundry Development Repository, operating under MDE Business Center (Miguel DE Business Development Services) (“TLDR”, “we”) and the business or person that opens an account or uses the GrowthOS™ platform (“you”, “Partner”). By creating an account, accepting an invitation to a workspace, or using any page we host, you agree to these Terms and to our Privacy Policy and Data & Compliance statement, which form part of them.
Consistent with the Electronic Commerce Act of 2000 (RA 8792), your electronic acceptance (clicking “Create account” or “Accept invite”) has the same legal effect as a written signature, and electronic records of your use of the platform are admissible evidence of this agreement.
If you accept on behalf of a company or partnership, you confirm you are authorised to bind it.
2. Eligibility and membership
- GrowthOS™ is not sold publicly. A workspace is activated only for members in good standing of the ELS Regional Business Partnership Network and their invited team members.
- You must be at least 18 years old and legally capable of entering contracts under the Civil Code of the Philippines.
- A person who signs up without an RBPN membership receives a login only; TLDR activates a workspace once membership is confirmed.
3. Plans, fees and payment
- Access is provided under the GrowthOS or GrowthOS+ plan, plus any add-ons you activate. Current inclusions and prices are shown on the Plans section of tldrphilippines.com; the plan on your subscription record governs.
- Fees are quoted in Philippine pesos exclusive of 12% value-added tax, which is added to every invoice as required by the National Internal Revenue Code. TLDR issues invoices compliant with BIR regulations.
- Subscriptions are billed monthly in advance and renew automatically until cancelled with at least 15 days’ notice before the next billing date. Fees already paid are non-refundable except where these Terms or Philippine consumer law say otherwise.
- Monthly creative deliverables (graphics, videos, brochures, presentations, ad campaigns) are allotments per billing month; unused allotments do not roll over unless agreed in writing.
- If an invoice remains unpaid 15 days after its due date, we may suspend the workspace after written notice, and terminate it after 30 further days. Your data remains available for export during suspension.
4. Your account and team
- Keep your login credentials confidential. You are responsible for all activity under your account and for the team members you invite.
- Notify us immediately via the Support desk in your GrowthOS™ workspace (Migo chat) or Viber 0917 520 1317 of any unauthorised use; we will help you secure the account.
- Workspace owners may add or remove members at any time. Removed members lose access immediately; content they created stays with the workspace.
5. Acceptable use
You agree to use the platform lawfully and only for your laundry business. You must not:
- violate the Data Privacy Act of 2012 — including collecting prospects’ data without an appropriate privacy notice, sending marketing to people who have objected, or entering sensitive personal information you have no right to hold;
- send spam, deceptive or unsolicited messages through connected Facebook or Instagram channels, or use chat automations in ways that breach Meta’s Platform Terms or Messenger policies;
- publish content on funnels, courses or websites that is unlawful, defamatory, infringing, misleading to consumers, or that violates the Consumer Act of the Philippines (RA 7394) or DTI advertising rules;
- attempt to gain unauthorised access to other workspaces, the platform, or its providers, or interfere with its operation — conduct penalised under the Cybercrime Prevention Act of 2012 (RA 10175);
- reverse-engineer, copy, resell or sublicense the platform, or use it to build a competing product;
- upload malware, or files you do not have the right to distribute.
We may remove content or suspend access that breaches this section, giving notice where practicable.
6. Your content and your customers’ data
- You own your content — your brand assets, funnels, website pages, courses, documents, leads and customer records. You grant TLDR a limited licence to host, display, process and back them up solely to provide the service.
- For the personal data of your prospects and customers, you are the personal information controller and TLDR is your processor. We process it only on your instructions through the platform, keep it confidential, protect it as described in Data & Compliance, assist you with data-subject requests and breach duties, and return or delete it within 90 days after termination. You warrant that you have the lawful basis (including any consent) required to collect and use that data.
- You are responsible for the accuracy of quotations, billing statements, receipts and warranty cards you issue with the platform, and for your own tax and invoicing obligations to your customers.
7. TLDR’s intellectual property
The platform, its software, design, templates, training courses authored by TLDR, the GrowthOS™ name and logos, and all related intellectual property belong to TLDR or its licensors and are protected by the Intellectual Property Code of the Philippines (RA 8293). Your subscription grants a non-exclusive, non-transferable right to use them within the platform for the term of your plan. Creative deliverables produced for you under your plan (graphics, videos, brochures, presentations) are licensed to you for your business’s marketing; underlying templates, stock elements and tooling remain ours.
8. Third-party platforms and managed services
- Meta (Facebook, Instagram). Connecting a Page, Instagram account or ad account is subject to Meta’s terms. You authorise TLDR to act on your behalf for the managed Ads service and to relay messages through the Chat portal. TLDR is not responsible for Meta outages, policy decisions, ad disapprovals or account restrictions.
- Managed Ads. Ad spend is paid to Meta and is separate from your subscription. We plan, run and optimise campaigns with reasonable skill and care but cannot guarantee reach, leads or sales results.
- AI Auto-Reply add-on. Replies are generated automatically from the business description you supply. You must review it for accuracy, remain responsible for what is sent to your customers, and can switch the add-on off at any time.
- Custom domains. You are responsible for owning the domain you connect and keeping its DNS records in place.
9. Service availability and support
We aim to keep the platform available at all times but do not guarantee uninterrupted service. Planned maintenance is announced in advance where possible. Support is provided through the in-app Support desk and Migo chat during Philippine business hours; we respond to requests within one business day and prioritise anything that blocks lead capture or document issuance.
10. Warranties and limitation of liability
The platform is provided “as is” and “as available”. To the fullest extent permitted by Philippine law, TLDR disclaims implied warranties of merchantability and fitness for a particular purpose, and does not warrant that the service will be error-free.
TLDR is not liable for indirect, incidental, consequential or special damages, loss of profits, revenue, goodwill or data, arising from the use of or inability to use the platform. Our total liability for any claim in a billing year is limited to the subscription fees you paid to TLDR in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under the Civil Code of the Philippines, the Consumer Act, or the Data Privacy Act — including liability for fraud, gross negligence or wilful misconduct.
11. Indemnity
You will indemnify and hold TLDR harmless from claims, penalties and reasonable legal costs arising from your content, your use of the platform in breach of these Terms, or your failure to comply with the Data Privacy Act or Meta’s policies in relation to your own customers and campaigns.
12. Term, suspension and termination
- These Terms apply for as long as you hold an account. You may cancel your subscription with 15 days’ notice before the next billing date and may delete your account at any time.
- We may suspend or terminate access for non-payment, material breach of these Terms, unlawful use, or loss of RBPN membership, giving notice and a reasonable opportunity to cure where the breach is curable.
- On termination you may export your data for 30 days; we then delete or return it within 90 days as described in the Privacy Policy, keeping only what tax or other laws require us to retain.
- Public funnels, websites and courses on your handle or custom domain are taken offline when the workspace closes.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines. The parties will first try in good faith to resolve any dispute through discussion, and then through mediation, before either party files a case. Subject to that, the proper courts of the Philippines have exclusive jurisdiction, without prejudice to your rights as a consumer under RA 7394 or as a data subject to complain to the National Privacy Commission.
14. General
- We may update these Terms; material changes are announced in the workspace and by email at least 15 days before they take effect. Continued use after that date is acceptance.
- If any provision is held invalid, the rest remain in force.
- You may not assign these Terms without our consent; we may assign them to a successor of our business on notice.
- Notices to TLDR are given via the Support desk in your GrowthOS™ workspace (Migo chat) or Viber 0917 520 1317; notices to you go to the email on your account.
- These Terms, together with the Privacy Policy, Data & Compliance statement and your subscription record, are the entire agreement between us regarding the platform.
